1. Definitions
In these Terms and Conditions, the following terms have the meaning set out below:
- "zentroves", "we", "us", "our" โ zentroves Pte. Ltd., registered in Singapore (UEN to be confirmed), with offices at 20 Cecil Street, #14-05, Plus Building, Singapore 049705.
- "Client", "you", "your" โ the individual or organisation that enquires about, books, or uses zentroves's services.
- "Service" โ any of zentroves's offered arrangements, including the Contemplative Morning Drive, Business Week Lease, and Remembrance Ceremony Transport.
- "Agreement" โ these Terms and Conditions, together with any written booking confirmation issued by zentroves.
- "Booking Confirmation" โ the written summary sent by zentroves confirming a service arrangement, including vehicle, driver, timing, price, and any agreed specifics.
2. Acceptance of Terms
By enquiring about, booking, or using any zentroves service, you confirm that you have read and agree to these Terms and Conditions. Use of our services constitutes acceptance of this Agreement.
Our services are provided to individuals aged 18 and above. By engaging with zentroves, you confirm that you meet this requirement. You also confirm that you have the legal capacity to enter into a binding agreement under Singapore law.
3. Service Description
zentroves provides three vehicle services in Singapore: the Contemplative Morning Drive, the Business Week Lease, and the Remembrance Ceremony Transport. Each service is described in detail on our website at zentroves.blog.
Services are subject to vehicle and driver availability. We operate across Singapore and do not guarantee availability on all dates. Cross-border arrangements (including travel to Malaysia) require prior discussion and agreement and may attract additional charges.
4. Bookings and Confirmation
A booking is not confirmed until zentroves has sent a written Booking Confirmation to the client by email. Verbal discussions, initial enquiries, or informal exchanges do not constitute a confirmed booking.
Clients are responsible for reviewing the Booking Confirmation and raising any discrepancies before the service date. zentroves will not be liable for service failures arising from uncorrected errors in a Confirmation that was provided to the client in advance.
Booking lead times
- Contemplative Morning Drive: minimum 48 hours prior notice
- Business Week Lease: minimum by Thursday of the preceding week
- Remembrance Ceremony Transport: minimum 48 hours prior notice; multi-vehicle arrangements may require more
5. Pricing and Payment
Prices are published on our website and quoted in Singapore Dollars (SGD). The price stated in the Booking Confirmation is the price charged โ no surcharges are added after confirmation for peak periods or standard service conditions.
Additional vehicles for Remembrance Ceremony Transport are charged per vehicle at the stated rate and are confirmed separately in the Booking Confirmation. Cross-border supplements, where applicable, are confirmed in writing before arrangement.
Payment terms are as agreed in the Booking Confirmation. We accept payment by bank transfer and major credit/debit cards through our payment provider.
6. Changes and Cancellations
Changes
Clients may request changes to a confirmed booking by contacting zentroves directly. Changes are accommodated where operationally possible and confirmed in a revised written Booking Confirmation. Material changes requested within 24 hours of the service may not be possible.
Cancellations by the client
- Cancellation with more than 48 hours notice: no charge for morning drive or ceremony transport; no charge for business week lease if cancelled before Friday of the preceding week.
- Cancellation within 48 hours of the service: a partial charge of up to 50% of the service fee may apply, depending on preparation already undertaken.
- Cancellation on the day of service: a full charge applies.
Each situation is handled individually. Please contact zentroves as early as possible if circumstances require cancellation.
Cancellations by zentroves
In the unlikely event that zentroves must cancel a confirmed booking (due to vehicle failure, driver unavailability, or circumstances beyond our control), we will notify the client as soon as possible and offer either a rescheduled arrangement or a full refund of any amounts paid.
7. Client Responsibilities
- Provide accurate pick-up and delivery location information at the time of booking
- Be available at the agreed pick-up location at the confirmed time
- Use vehicles in a responsible manner consistent with Singapore road laws
- Not use vehicles for purposes other than those agreed in the Booking Confirmation
- Report any vehicle concerns or incidents to zentroves promptly
- Not permit additional drivers for the Business Week Lease without prior written agreement
- Return Business Week Lease vehicles in the same condition as received, excluding normal wear
8. Acceptable Use
Clients must not use zentroves vehicles or services for any unlawful purpose, including transporting prohibited items, conducting illegal activities, or breaching any Singapore law or regulation. Any such misuse will result in immediate termination of the service, without refund, and may be reported to the relevant authorities.
9. Intellectual Property
All content on the zentroves website โ including text, design, images, and service descriptions โ is the property of zentroves Pte. Ltd. You may not reproduce, distribute, or commercially exploit any content from our website without prior written permission.
10. Disclaimers
zentroves's services are provided with care and professional attention. However, we do not guarantee that services will be entirely free from disruption in all circumstances, including those caused by traffic conditions, weather, or events beyond our control.
Nothing in these Terms limits our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.
11. Limitation of Liability
To the fullest extent permitted by Singapore law, zentroves's aggregate liability to any client in connection with a service shall not exceed the total fee paid for that service.
We are not liable for indirect, consequential, or incidental losses arising from use of our services, including loss of business, data, or opportunity.
12. Indemnification
You agree to indemnify and hold harmless zentroves and its personnel against any claims, damages, or costs arising from your breach of these Terms, your misuse of the service, or any act or omission that causes loss to zentroves or a third party.
13. Termination
Either party may terminate a service arrangement if the other materially breaches these Terms and fails to remedy the breach within 48 hours of written notice. zentroves may terminate a service immediately without notice where a client poses a safety risk or acts unlawfully.
Upon termination, any amounts owed for services already delivered remain payable. Prepaid fees for services not yet delivered will be refunded on a pro-rata basis where the termination is not caused by client breach.
14. Governing Law and Disputes
These Terms and Conditions are governed by the laws of Singapore. Any dispute arising from or relating to this Agreement shall first be addressed through direct discussion between the parties. If unresolved within 30 days, disputes may be referred to mediation through the Singapore Mediation Centre before formal legal proceedings are commenced.
The courts of Singapore shall have exclusive jurisdiction over any legal proceedings arising from this Agreement.
15. General Provisions
- Entire Agreement: These Terms, together with the Booking Confirmation, constitute the entire agreement between the parties regarding the relevant service.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
- Waiver: Failure by zentroves to enforce any provision does not constitute a waiver of that right.
- Assignment: You may not assign your rights under these Terms without prior written consent from zentroves.
- Notices: Formal notices should be sent by email to [email protected] or by post to our registered address.
16. Changes to These Terms
We may update these Terms periodically. Material changes will be noted by an updated "Last Updated" date. Continued use of our services after changes are posted constitutes acceptance of the revised Terms. Where a Booking Confirmation is already in place, the Terms in force at the time of confirmation govern that arrangement.
